At the 2009 AGM,
Members agreed that the Society be incorporated as a company limited by guarantee subject to Members approving the draft Memorandum and Articles. The Committee has since agreed draft Memorandum and Articles for submission to Members. The full draft can be downloaded as a PDF file at the link below.

DRAFT MEMORANDUM AND ARTICLES
NOTE FROM THE CHAIRMAN, DAVID BARRIE, TO MEMBERS ON THE PROPOSED NEW CONSTITUTION, AS PUBLISHED IN THE DARJEELING MAIL FOR NOVEMBER 2009.
At the Annual General Meeting of the Society, held on 6th June 2009, Members passed the following Resolution:
“That, subject to Members approving the draft Memorandum and Articles of Association, the Society be incorporated as a company limited by guarantee...”
At the same meeting, I said that the draft Memorandum and Articles of Association would be circulated for Members’ comments and that, after your Committee had considered these comments, the Memorandum and Articles of Association would be submitted for formal approval at a future meeting.
The draft Memorandum and Articles of Association may now be viewed on the Society’s website. (For Members who do not have internet access, hard copies of these documents may be obtained by writing to the Secretary at the address given on the inside cover of the Darjeeling Mail.) This draft Memorandum and Articles of Association follows closely the model provided by the Charity Commission, as implemented on 1st October 2009: necessary variations from the model are highlighted in red. Using the model will, of course, facilitate any future application for charitable status.
Members are invited to comment on the draft Memorandum and Articles of Association by emailing or writing to the Secretary at either of the addresses given on the inside cover of the Darjeeling Mail. These comments should be submitted not later than 31 December 2009. After consideration by your Committee at its meeting in January 2010, replies will be made to Members. The objective is to have the draft Memorandum and Articles of Association, incorporating Members’ comments as appropriate, available for consideration by Members at the 2010 Annual General Meeting.
